Valuation

Business valuation

Independent valuation of businesses and shareholdings, based on an appropriate methodology, the financial data and the relevant business circumstances.

The question of value matters most on investor entry, on a sale or an exit from a shareholding, and in disagreements between business partners. We therefore base the valuation on recognised methods and detailed analysis, with a clear explanation of the approach applied, the key assumptions, and the factors affecting the value arrived at. That gives you a transparent and documented basis for negotiation and for business decisions.

What you receive

  • A valuation report with the methodology and the approach applied clearly explained.
  • An estimated value range, with the assumptions and the factors that may affect the final result set out.
  • Sensitivity analysis showing how changes in the key assumptions affect the value arrived at.
  • A financial model for testing scenarios, letting you see how different business conditions affect value.

Valuation

What the engagement covers

  • Valuation of a company, a shareholding or a business line.
  • Several methods applied: discounted cash flow, market multiples and net asset value.
  • Normalisation of the result, separating one-off and unusual items.
  • Sensitivity analysis: how the value moves with the key assumptions.
  • Valuation for investor entry, recapitalisation or shareholder exit.
  • Valuation for a settlement or a dispute between owners.
  • Valuation of individual assets and of off-balance-sheet items where they affect value.

Who we work with

Who the services are for

  • Owners planning to sell the business or take in a new partner who need a realistic assessment of its value.
  • Investors ahead of committing capital who want a clearer view of the financial position and the value of the business.
  • Shareholders in a split, an exit from a partnership, or a disagreement over the value of a holding.
  • Companies planning recapitalisation or restructuring that need a valuation as a basis for their decisions.

Frequently asked questions

Questions about this service

Because value depends on assumptions about the future, and those are not certain. A range with the assumptions stated is more honest, and serves you better in negotiation than a single figure that cannot be defended when it is challenged.

For a smaller company with tidy records, usually two to three weeks. Preparing the inputs takes longer than the calculation itself.

Book value shows what the assets cost and how much has been written off. A valuation answers a different question: what the business is worth today, given what we expect it to earn and what that risk costs.
